Corporate and Commercial Associate

Cardiff – £65,000 - £70,000

The Role

This is a broad and varied position covering both corporate and commercial matters. You will take ownership of smaller transactions while also supporting senior lawyers on more complex and high-value work.

The role offers real client exposure from day one, with opportunities to build strong relationships, develop your technical expertise, and contribute to business development initiatives.

Key Responsibilities

Corporate Work

• Advising on mergers and acquisitions (share and asset sales and purchases)
• Drafting, reviewing and negotiating transaction documents
• Assisting with corporate restructures, reorganisations, demergers and joint ventures
• Preparing shareholder agreements, investment agreements and articles of association

Commercial Work
Drafting and negotiating a wide range of commercial contracts including:

• Supply and service agreements
• Distribution and agency agreements
• Terms and conditions
• Advising on IP arrangements, licensing, confidentiality agreements and data protection issues
• Providing general commercial legal support across a range of sectors

About You
Our client is looking for a qualified Solicitor (3–5 PQE) with:

• Strong experience in corporate and/or commercial law
• Proven exposure to M&A transactions and commercial contracts
• Excellent drafting, negotiation and analytical skills
• Strong commercial awareness and ability to understand client needs
• Confidence managing matters independently with appropriate support
• Excellent communication and client relationship skills
